Welcome to the website operated by StrikePoint Partners (“Company,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website, services, tools, and digital platforms (collectively, the “Site”).

By accessing, browsing, or using our Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site.

1. Scope of Services

The Site provides informational content regarding our executive advisory services, including Fractional Chief Marketing Officer (CMO) and Fractional Chief Technology Officer (CTO) services, data integration solutions, and business growth audits (such as the Lane Revenue Audit).

Formal client engagements, service deliverables, CRM implementations, custom data integrations, and retainer scopes are governed separately by signed master service agreements (MSAs) or statements of work (SOWs). In the event of a conflict between these Terms and a executed MSA or SOW, the executed agreement shall take precedence.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and its entire contents, features, and functionality—including but not limited to all information, software, code, text, displays, images, video, audio, design, selection, and arrangement—are owned by the Company, its licensors, or other providers of such material and are protected by applicable copyright, trademark, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site strictly for internal business evaluation purposes. You must not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, or republically perform any material from our Site without prior written consent.
  • Frame or utilize framing techniques to enclose any trademark, logo, or proprietary information of the Company without express written consent.
  • Reverse-engineer, decompile, or disassemble any software, tools, or integrated platform features available through the Site.

3. User Conduct & Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable federal, state, local, or international law or regulation.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, database, or computer connected to the Site.
  • Submit false, misleading, or deceptive information through our contact forms, audit requests, or communication channels.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

4. Third-Party Integrations & POS Systems

Our technology offerings frequently involve integrating, synchronizing, or exporting data from third-party Point of Sale (POS), arcade management, booking, or cashless platforms (e.g., Conqueror X, Brunswick Sync, Steltronic, CenterEdge, Embed, Intercard).

References on this Site to third-party software, platforms, or vendors are for identification and compatibility purposes only. All third-party trademarks, product names, and logos are the property of their respective owners. The Company is an independent service provider and claims no ownership, affiliation, or endorsement by these third-party POS or software vendors unless explicitly stated. You are responsible for ensuring that your extraction or integration of data complies with your contractual terms with third-party software vendors.

5. Client Data & CRM Ownership

We firmly believe that your operational and customer data belongs to you. In any client engagement involving CRM setup, data extraction, or platform configuration, you retain full ownership of your proprietary customer lists, transaction histories, and business records. The Company retains ownership of its proprietary auditing tools, custom scripts, workflow frameworks, and strategic methodologies developed or utilized during the performance of services.

6. Disclaimer of Warranties

THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE PROVIDED BY THE COMPANY ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100.00 USD).

8. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your unauthorized use of the Site or its contents.

9. Modifications to Terms

We reserve the right to revise and update these Terms at any time in our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.

10. Governing Law & Dispute Resolution

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of New York, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal or state courts located in Monroe County, New York, and you waive any objection to the exercise of jurisdiction over you by such courts.
